Terms of Service | Throughout Technologies

1. Acceptance of Terms

By accessing the Throughout Technologies website (https://throughouttechnologies.com), engaging our software engineering services, hiring dedicated developer squads, or utilizing our software applications (including a4tool, Hello24x7, Gapalyze, Sweetpay), you ("Client", "User", or "You") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are entering into this agreement on behalf of a company or legal entity, you represent and warrant that you possess the authority to bind such entity to these Terms.

2. Services & Statements of Work (SOW)

Custom Software Engineering: Throughout Technologies delivers custom web, mobile, AI/ML, and cloud software engineering services in accordance with individual Statements of Work (SOW) or sprint milestone agreements.
Staff Augmentation & Dedicated Squads: When engaging dedicated developers or squad teams, engineers operate under the Client's day-to-day product backlog direction while remaining employed by Throughout Technologies.
Timelines & Milestones: Project estimates and sprint plans represent good-faith engineering projections based on technical specifications agreed upon at sprint kickoff.

3. Intellectual Property (IP) Ownership & Assignment

A. Client Deliverables (Work for Hire)

Upon full receipt of invoice payments for the applicable milestone or sprint, Throughout Technologies assigns to the Client 100% full, exclusive, and unencumbered ownership of all custom source code, documentation, UI designs, and deliverables created specifically for the Client under that SOW.

B. Pre-Existing IP & Open-Source Frameworks

Throughout Technologies retains ownership of its pre-existing proprietary frameworks, boilerplates, and foundational libraries ("Throughout Core Assets"). To the extent such assets are integrated into deliverables, Throughout grants the Client a perpetual, royalty-free, worldwide, non-exclusive license to use, modify, and deploy them with the deliverable.

C. Open Source Compliance

All third-party open-source components (e.g., React, Next.js, Ruby on Rails gems, Python PyPI packages) remain subject to their respective MIT, Apache 2.0, or BSD licenses.

4. Fees, Billing & Invoicing Terms

Invoicing Milestones: Invoices are issued based on agreed milestone completions or bi-weekly/monthly time-and-materials cycles.
Payment Terms: Standard payment terms are Net 15 days from invoice issuance unless specified otherwise in the SOW.
Taxes: Invoices exclude applicable taxes (GST, VAT, or international withholding taxes), which remain the responsibility of the paying entity according to local regulations.

5. Warranties & 30-Day Post-Launch Support

Professional Standard: Throughout Technologies warrants that all engineering work will be performed in a professional, workmanlike manner adhering to modern software engineering best practices.
Bug-Fix Warranty: Unless otherwise specified in an SOW, custom-developed software includes a 30-day post-delivery bug-fix warranty covering defects deviating from agreed functional specifications.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Throughout Technologies Pvt. Ltd. or its directors, employees, or contractors be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, data corruption, or business interruption) arising out of the use or inability to use our services or platforms.

7. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Indore, Madhya Pradesh, India, with prior good-faith attempts at amicable mediation.
